Energy Holdings and Ventura Offshore have signed a letter of intent to execute a business combination through a share exchange. Through this transaction, Energy Holdings will assume control of 100% of Ventura Offshore’s outstanding common shares and will remain as the publicly traded parent company. For their part, shareholders of the acquired firm will receive common shares of the resulting entity.
Energy Holdings and Ventura Offshore Combine Offshore Operations
Consequently, Ventura Offshore will operate as a specialized deepwater offshore drilling division. This integrated unit will coexist with Energy Drilling and SeaBird Exploration within a diversified portfolio of cash-generating assets. In coordinated fashion, the resulting entity will accumulate a contracted order backlog valued at approximately $1.3 billion.
The transaction seeks to optimize the capital structure and improve the group’s credit profile in international financial markets. Corporate forecasts indicate that the combined entity will facilitate the capture of growth opportunities in adjacent offshore services markets.
Accordingly, the new financial architecture will enable reduced cost of debt and facilitate non-amortizing debt structures. According to statements by Kurt M. Waldeland, Chief Executive Officer of Energy Holdings, this management capability will increase capital distribution to investors. Likewise, the board of directors will evaluate a potential dual listing of shares in the United States and an initial public offering.
Definitive closing of the transaction is scheduled for the first quarter of 2027. Completion of the process will remain subject to execution of definitive agreements, due diligence audits, entry into operation of new rig contracts, court approvals, and regulatory authorizations. Finally, the transaction will require delisting of Ventura Offshore from the Oslo Euronext Growth market.
Finally, executive leadership will maintain its current structure, with Kurt M. Waldeland leading Energy Holdings and Guilherme Coelho heading the Ventura Offshore division. Both management teams confirmed that the integration will provide greater operational flexibility, expanded technological capabilities, and balanced exposure within the global energy sector.
