MISC is in preliminary discussions to participate in a consortium that is studying the privatization of Yinson through a transaction with an indicative price of RM2.35 per share.
The Malaysian company MISC is evaluating its participation in a possible consortium to advance in the privatization of Yinson Holdings, an energy group with a prominent presence in the offshore production business and floating production, storage and offloading units (FPSO).
Currently, the talks involve MISC, Yinson Legacy, its subsidiaries and the Malaysian Employees’ Provident Fund (EPF). The transaction contemplates a target price of RM2.35 (US$0.58) per Yinson share, although the figure does not yet represent a definitive offer.
The consortium is considering acquiring the remaining shares of Yinson
If the proposed scheme is carried out, the consortium would acquire the shares of Yinson that currently do not belong to Yinson Legacy or to the parties acting in concert with it. For its part, EPF would retain its current effective interest.
However, MISC has made it clear that negotiations are at a preliminary stage. The price of RM2.35 per share could change after completing due diligence, negotiations between the parties, and assessing the commercial viability of the potential transaction.
In addition, any agreement will depend on the signing of definitive documents and the fulfillment of the corresponding conditions. Applicable regulatory and corporate approvals will also be necessary before a privatization of Yinson can materialize.
Furthermore, the current approach does not constitute a firm intention to make an offer. Therefore, discussions can continue without an acquisition finally taking place.
What would the transaction mean for MISC and the FPSO business?
From an energy perspective, a possible participation of MISC would be especially relevant due to the presence of both companies in maritime and offshore activities .
MISC is a subsidiary of Petronas linked to maritime transport and floating solutions for the energy industry. Yinson, on the other hand, develops activities related to energy infrastructure, offshore production, renewable energies and green technologies.
Within this portfolio, Yinson Production stands out, its business specializing in offshore production infrastructure and independent owner and operator of FPSO units.
Therefore, the possible operation would place Malaysian companies with a significant presence in offshore energy infrastructure under the same negotiation scheme. For MISC, participating in the consortium would mean entering into a transaction directly related to assets and services that complement its exposure to the offshore sector.
MISC remains cautious about Yinson’s privatization
Despite the potential scope of the transaction, MISC has not detailed what its final stake in the consortium would be. There is also no final offer price or guarantee that the talks will culminate in the privatization of Yinson.
The company has warned that the outcome will depend on further assessments, negotiations, definitive agreements and the necessary authorisations.
Consequently, there is no guarantee that the talks will lead to the implementation of the proposed plan.

The caution is especially relevant after another attempt at consolidation in the Malaysian offshore sector. MISC and Bumi Armada signed a memorandum of understanding in 2024 to study the combination of their respective floating production businesses through a share exchange.
In the end, that operation did not move forward and the memorandum expired on August 14, 2025. The record shows that initial corporate negotiations within the offshore market can be closed without the transactions being executed.
For now, the privatization of Yinson remains a possibility under evaluation. The evolution of due diligence, the final price and the regulatory conditions will determine whether MISC ends up being part of the consortium and whether the proposal moves towards a formal offering.
