Swiss multinational ABB has reached a firm agreement to acquire the entire share capital of British company Rotork through a recommended cash public takeover offer. This financial transaction involves an enterprise valuation of approximately $5.5 billion USD. Through this transaction, the acquiring company seeks to strengthen its capabilities in electrification and automation technologies for highly complex infrastructure and industries.
The Rotork Acquisition and Financial Terms
Under the terms agreed in the proposal, Rotork shareholders will receive 503 pence in cash for each share they hold. This figure represents a 60% premium over the weighted average trading price of the last three months. Additionally, the financial structure allows for the distribution of an interim dividend of up to 3 pence per share corresponding to the first half of 2026. In valuation terms, the transaction is equivalent to a sales multiple of 5.3 times and an adjusted EBITDA multiple of 19.5 times for fiscal year 2025, estimating that the latter indicator will decrease by approximately 15% when accounting for anticipated operational synergies.
Operational Integration and Technological Synergies
In a complementary manner, the integration of Rotork’s catalog of mission-critical actuators and instruments will enhance ABB’s industrial control chain. This integration will enable optimization of the detection, control, and action cycle through intelligent field devices connected to advanced digital platforms. Likewise, the acquisition will increase the diversification of recurring revenues and elevate global operating margins through the offering of services linked to the product lifecycle.
Following regulatory approval and formal closing of the acquisition, Rotork will maintain its structure as an independent division within ABB’s automation division. This organization responds to the decentralized operating model called ABB Way, which grants management autonomy to business units to expedite decision-making. During the period from 2022 to 2025, Rotork recorded average organic growth of 8% annually, reaching revenues close to $1 billion in 2025 and an adjusted operating margin of 24.6%.
For its part, ABB’s management has ratified its commitment to the continuity of Rotork’s executive leadership and the preservation of its operational centers in the United Kingdom. The British facilities will maintain their strategic role as fundamental manufacturing and engineering bases within the combined group. Through this move, the entity seeks to ensure employment stability and enhance penetration in key markets such as the chemical, water, energy, and data center sectors.
