Woodside to buy Tellurian for $900 million

Tellurian Inc. announced the signing of a definitive agreement with the subsidiaries of Woodside Energy Group Ltd.whereby the company will purchase all of the outstanding shares of Tellurian for $1.00 per share in an all cash transaction.

According to Martin Houston, Tellurian’s chief executive officer, this transaction secures significant and secure value for the company’s shareholders. Following a strategic repositioning in December, new leadership has strengthened Tellurian’s position and advanced the Driftwood LNG project. This company’s offer recognizes this progress and represents a substantial premium over the current share price.

Houston noted that after a detailed evaluation of the opportunities and challenges, it was concluded that Woodside’s offer is the best option, considering the risks and costs associated with the timelines to Final Investment Decision (FID).

1.2 billion transaction approved

The acquisition offers a 75% premium over Tellurian’s closing price on July 19, 2024 and a 48% premium over the 30-day volume weighted average price. This underscores the quality of the Driftwood LNG site, its full exploitation status, its advanced stage of development and its strong relationships with companies such as Bechtel, Baker Hughes and Chart Industries.

The total enterprise value of the transaction, including net debt, is approximately $1.2 billion.

In addition, the transaction, unanimously approved by the boards of directors of both companies, is expected to close in the fourth quarter of 2024 upon satisfaction of customary closing conditions, including the Tellurian shareholder approval shareholders and receipt of regulatory approvals.
