CMA CGM Group<\/strong> confirmed the acquisition of 51% of Santos Brasil<\/strong>, the multi-terminal operator that manages the largest container terminal in South America, located in the port of Santos.<\/p>\n\n

According to the official statement, the group completed the purchase of 47.9% of Santos Brasil<\/em> shares, at a price of 13.60 Brazilian reais per share, after obtaining the necessary regulatory approvals<\/strong>. <\/p>\n\n

As of the closing of this transaction, CMA Terminals Atlantic<\/strong>, a subsidiary of CMA CGM<\/strong>, launched a mandatory tender offer to obtain the total outstanding shares of Santos Brasil<\/strong>, maintaining the same economic conditions agreed with Opportunity <\/strong>and adjusted according to the SELIC rate<\/strong>.<\/p>\n\n

In addition, the group announced its intention to request the conversion of Santos Brasil’<\/strong> s registration with the Brazilian Securities and Exchange Commission (<\/strong>CVM<\/em>) to the “B”<\/em>category, which would entail the company’s exit from the Novo Mercado<\/em> segment of the B3 Stock Exchange, subject to the validation of an independent valuation report.<\/p>\n\n

This acquisition translates into an important boost for the Port of Santos<\/strong>, considered the main commercialgateway<\/em>to South America. In addition, the multi-terminal operator has a strategic infrastructure that supports Brazilian foreign trade and the expansion of container traffic. <\/p>\n\n

The strengthening of CMA CGM <\/strong>‘s position in Brazil is consistent with its global strategy of integrating maritime, air and land operations to offer a wide range of integrated logistics solutions to its customers.<\/p>\n\n

An Extraordinary General Shareholders’ Meeting of<\/strong> Santos Brasil has been called for April 29, 2025, in order to appoint the independent appraiser who will evaluate the economic conditions of the offer.<\/p>\n\n

The immediate future of Santos Brasil will be linked to the results of this evaluation and to the course taken by the takeover bid, in a scenario in which CMA CGM<\/a><\/strong> is positioning itself as an influential player in Brazilian and regional logistics.<\/p>\n\n
